01. The 50% Ownership Threshold
California ABC regulations require that any change of 50% or more in the ownership of a licensed corporation be reported to the department. This is because ABC licenses are issued to specific persons and entities. When more than half the ownership changes, ABC wants to review the new owners for suitability. The escrow company must verify whether the transaction crosses this threshold before determining which ABC forms are required. 02. Form ABC-227-A vs. ABC-227
For a standard license transfer from one person or entity to another, Form ABC-227 is used. For a corporate stock transfer involving 50% or more ownership change, Form ABC-227-A is required. This form tells ABC that the licensee entity is staying the same but the people who control it are changing. The escrow company must coordinate with the corporation’s attorney to ensure the correct form is filed. Using the wrong form can delay the process by months.
03. Escrow Still Required
Even though the licensee entity remains the same, California law still requires escrow if any consideration is paid for the stock transfer. The full purchase price must be deposited with a neutral third party. The escrow agreement must provide for payment only after ABC approves the ownership change. The escrow company cannot release funds to the selling shareholders until ABC clears the new owners.
04. Why Corporate Transfers Are Complex
Corporate stock transfers involve layers of complexity that individual transfers do not. The escrow company must verify the corporate records, confirm the stock certificates, and ensure that the board resolutions authorizing the sale are in order. The escrow instructions must address what happens if ABC approves some new owners but not others. The escrow company must also coordinate with the corporation’s existing creditors and lenders, who may have consent rights over ownership changes.
