Why Each Location Needs Its Own Escrow
ABC licenses are tied to specific premises. A Type 47 license for a restaurant in Santa Monica cannot be transferred to a restaurant in Pasadena. Each location has its own license number, its own premises diagram, and its own neighborhood review. The escrow for each location must hold the purchase price allocated to that specific license. The escrow instructions must specify which license, which premises, and which purchase price apply to each account.

ABC does not approve all transfers simultaneously. One location might be approved in 30 days while another takes 90 days due to neighborhood protest or investigation backlog. The escrow company must hold funds for each location until that specific transfer is approved. The buyer cannot access any portion of a location’s escrow until ABC clears that location.
