When an Industrial Closing Needs Holding Escrow

How Holdbacks Protect Buyers
The classic structure is the TI holdback. Say a buyer agrees to pay $8 million with $400,000 held back until the seller completes agreed improvements. The funds sit in escrow while work proceeds, and release requires inspection sign off, lien releases from the contractors, and sometimes a certificate of occupancy. The buyer is never in the position of having paid for improvements that do not exist.
Holdbacks also work in reverse. Sellers worried about a buyer’s 1031 exchange timing can require deposits to sit in escrow until exchange funds arrive, protecting the seller from a failed exchange collapsing the deal at the last hour.
