Escrow Holdbacks for San Diego Restaurant Equipment Sales

Quick answer: Selling the equipment inside a San Diego restaurant involves liquor license rules, sales tax, and possible liens. An escrow holdback keeps part of the purchase price in the account until each condition resolves, protecting both sides from paying for a problem they did not create.

A restaurant equipment sale looks simple on the surface. The buyer wants the ovens, coolers, and point of sale systems. The seller wants the money. Between those two points sit three issues that can swallow the deal if they are ignored: the liquor license transfer, sales tax on the fixtures and equipment, and liens recorded against the equipment by lenders.

What Is an Escrow Holdback?

An escrow holdback means the escrow company keeps part of the purchase price in the escrow account after closing, instead of releasing everything to the seller right away. The held funds are released later, once a specific condition is met, such as a liquor license approval or a tax clearance letter. The amount is usually set large enough to cover the unresolved obligation plus a small buffer for interest and penalties. Our guide to drafting an effective escrow holdback agreement covers the terms that make a holdback enforceable.

Three Issues That Come Up in Restaurant Sales

Liquor License Transfer

When the sale includes an alcoholic beverage license, the California Department of Alcoholic Beverage Control expects the full purchase consideration to be held in escrow before the transfer application is filed. Payment is released only after the transfer is approved. We covered this requirement in our article on ABC escrow before any license transfer filing.

Sales Tax on Equipment

The sale of a restaurant’s furniture, fixtures, and equipment is generally a taxable sale in California. The California Department of Tax and Fee Administration may notify the escrow company of amounts due before funds are released, which reduces what the seller receives until the account is cleared.

Equipment Liens

Walk in coolers, ovens, and point of sale systems are often financed. A buyer can run a free UCC search through the California Secretary of State by the seller’s name to spot recorded security interests before closing day.

Seller warning: If the escrow instructions do not describe the holdback amount, the release trigger, and the deadline in writing, a seller can wait months for money that was already spent in their head. Written instructions are the protection.

A Simple Holdback Structure

Step What Happens
Opening escrow Purchase price deposited and holdback amount written into the instructions
Closing day Buyer receives equipment and keys, seller receives most of the funds
Clearance period Escrow holds funds back while the license, lien, or tax issue resolves
Final release Holdback released to the seller, or used to pay the confirmed obligation
