San Diego Escrow for Marine Industry Business Acquisitions

Quick answer: Buying or selling a San Diego marine business involves tax clearances, equipment liens, and permit questions that do not resolve on closing day. Escrow holds the purchase price until each one clears, so neither side takes on the other side’s unresolved problems.

San Diego’s working waterfront is one of the most active marine economies on the West Coast. The Port of San Diego reports multiple shipyards along the harbor and thousands of shipbuilding and repair jobs in the region, plus a long tail of boat dealers, marine supply stores, and vessel service shops. When one of these businesses changes hands, the transaction carries a mix of assets and obligations that a simple bill of sale cannot cover.

Why Marine Acquisitions Are Different

A boat yard, marine supply store, or repair shop rarely sells as a tidy package. The deal often includes specialized lifts and tooling, parts inventory, customer deposits, service contracts, and permits tied to the location. Some of that equipment may be financed, and some of the seller’s tax accounts may be open. Escrow exists to sort those items into a controlled sequence instead of a guessing game.

Buyer warning: California can hold the buyer of a business responsible for the seller’s unpaid taxes if the buyer releases the full purchase price before clearances arrive. The liability attaches to the buyer even when the seller’s debt was never disclosed.

How Escrow Supports the Transaction

Escrow Task Why It Matters
Holding the deposit Protects both sides while inspections and clearances run
Verifying lien releases Confirms financed equipment is paid off before funds move
Prorating fees and taxes Splits dock fees, permits, and property taxes fairly
Releasing funds at closing Money moves only after documents are signed and delivered

A buyer should also confirm what belongs in the file before opening escrow. Our guide to the eight documents every business escrow needs covers the paperwork side, and our overview of whether a business sale in California needs escrow explains when a neutral holder is worth the cost.

The Clearances That Shape the Timeline

CDTFA Clearance

A buyer of a business or stock of goods must withhold enough of the purchase price to cover the seller’s unpaid sales and use taxes, or obtain a clearance from the California Department of Tax and Fee Administration. A written clearance request can take 60 days or more, so it belongs near the top of the escrow timeline.

EDD and FTB Releases

The buyer should confirm the seller’s payroll accounts are settled with the Employment Development Department and that any required Franchise Tax Board clearance, such as form FTB 8701, is in place before the final payment is released. Our article on FTB bulk sale withholding explains the mechanics.

Holding part of the purchase price back until these clearances arrive is the standard way buyers protect themselves in a California acquisition. Secured Trust Escrow administers holdbacks for marine and marine service transactions across the San Diego harbor area.
